1. Definitions and Parties
In these Terms, “we” refers to Beijing Xunji Technology Co., Ltd., the operator of the App; “you” refers to the user of the App; and the “App” refers to the MusicAdept client software and the related services we provide.
The App is a music learning and practice tool that provides score management and reading, a tuner, a metronome, and ear-training and staff-notation reading practice, among other features.
2. The Services
The core features currently offered by the App can be used without creating an account.
We may add, modify or discontinue features from time to time. If we later introduce accounts, cloud sync, content upload, memberships or paid services, we will notify you through updated Terms, separate rules or in-app notices, and where personal information is involved we will obtain your consent as required by law.
3. Acceptable Use
You must use the App lawfully, properly and in good faith, comply with applicable laws and public order, and must not use the App for any unlawful activity.
You must not reverse engineer, decompile or crack the App, circumvent or defeat technical protection measures, interfere with the normal operation of the App, or access our systems or services without authorization.
4. User Content
Scores, images, PDFs, notes and other content that you import, store, edit or display through the App (“User Content”) must be lawfully obtained and used by you. You must not import or distribute content that infringes the copyrights, privacy, portrait, reputation or other lawful rights of others, and you are responsible for any consequences arising therefrom.
Your rights in your User Content are not transferred by your use of the App. To provide display, thumbnail generation, reading, sorting and search functions, the App will process the relevant files locally on your device as necessary.
5. Intellectual Property
The interface design, software code, icons, audio materials, product name, trademarks, text and other materials provided by us are owned by us or the respective rights holders.
Without our or the rights holder’s prior written permission, you may not copy, distribute, adapt, transmit, sell, rent or otherwise exploit the App or its components.
6. Third-Party Services
The App relies on operating system services, app stores, file pickers, permission managers, local databases and audio playback components, and integrates third-party analytics and diagnostics services to understand feature usage, locate faults and improve the experience.
How those third-party services process information, and our data storage and transfer arrangements, are described in the Privacy Policy.
7. Fees
Unless a fee is expressly stated for a feature, that feature is currently provided free of charge. If we later introduce paid features, memberships, cloud storage or value-added services, we will clearly present the price, benefits, duration and refund rules before purchase.
8. Disclaimers
Tuning, metronome, practice feedback and similar results are provided only as aids for music learning and practice, and do not constitute professional teaching, performance, examination, medical or other professional advice.
To the extent permitted by applicable law, we are not liable for losses caused by force majeure, or by factors beyond our reasonable control such as device status, system version, network conditions or third-party platforms, or by your failure to properly back up local data or accidental deletion of files, except where mandatory law provides otherwise.
9. Limitation of Liability
To the maximum extent permitted by applicable law, our total liability to you in connection with the App is limited to the extent provided by law. Where mandatory consumer-protection laws provide otherwise, those laws prevail.
10. Minors
If you are a minor, you should use the App with the consent and guidance of a guardian. Guardians should pay attention to minors’ usage time, content and any spending behavior.
11. Changes, Suspension and Termination
We may adjust, suspend or discontinue parts of the App for legal, regulatory, platform, security or operational reasons, and will make reasonable efforts to notify you in advance or promptly.
We may revise these Terms from time to time. Where a revision materially affects your rights or obligations, we will notify you by reasonable means such as in-app notices and, where necessary, prompt you to confirm again. If you do not agree to a revision, you may stop using the App.
12. Governing Law and Disputes
The formation, validity, interpretation, performance of and disputes under these Terms are governed by the laws of mainland China (excluding its conflict-of-laws rules).
Disputes arising from these Terms or the App should first be resolved through friendly negotiation. If negotiation fails, either party may bring the dispute before a competent court at our domicile (Beijing).
